Terms of Service
MemberCanary Last updated: 5 September 2026
These Terms govern your use of MemberCanary ("the Service", "we", "us"). By installing the app or creating an account you agree to them. If you are agreeing on behalf of a company, you confirm you have authority to bind it.
MemberCanary is a business tool sold to businesses. It is not offered to consumers.
1. What the Service does
MemberCanary connects to the platforms where you run your paid community — currently Whop, Discord and Telegram — and builds a single record for each of your members. It scores members on engagement signals and sends you a periodic digest identifying members who appear likely to cancel, members who appear highly engaged, and the reasons behind each.
2. Predictions are estimates, not guarantees
This matters, so it is near the top. MemberCanary produces statistical estimates from behavioural signals. A member flagged as at risk may not cancel. A member not flagged may cancel. We do not guarantee any level of accuracy, any amount of revenue retained, or any particular outcome.
You are responsible for what you do with the information. Nothing in a digest is advice, and you should not treat a score as a decision.
3. Your account and your platforms
To use the Service you must connect at least one platform account. You confirm that:
- you own or are authorised to administer the community you connect;
- you have the right to share your members' data with a service provider; and
- your own privacy policy and community terms permit this, and give your members the notice their local law requires.
This is your obligation, not ours. We process your members' data on your instructions. See the Data Processing Agreement.
You are responsible for activity under your account and for keeping your credentials secure.
4. Acceptable use
Do not:
- use the Service to harass, profile or discriminate against members;
- connect a community you do not administer;
- attempt to re-identify, scrape or resell data obtained through the Service;
- resell or sublicense the Service without our written agreement;
- interfere with the Service's operation or attempt to circumvent limits.
We may suspend an account that breaches this section, with notice where practicable.
5. Fees and billing
Billing is handled by Whop, which acts as merchant of record. Your payment terms, invoices, refunds and tax treatment are governed by Whop's terms in addition to these.
Prices are per the plan shown at purchase. We may change prices with 30 days' notice before your next renewal. Continuing to use the Service after that constitutes acceptance.
For your first subscription, you may request a pro-rata refund within 14 days of purchase. After that period, payments are non-refundable except where required by law. Refunds are processed through Whop and remain subject to Whop's payment and refund procedures.
6. Your data
You own your data. Connecting a platform does not transfer ownership of anything to us.
We use your data to operate and improve the Service for you. We do not sell it, and we do not use one customer's member data to serve another customer.
We do not use customer or member data to create or publish cross-customer benchmarks. If this changes, we will update these Terms and the Privacy Policy before that processing begins.
On termination we delete your data within 30 days, except where we must retain records to comply with law. You may request earlier deletion at any time.
7. Availability
We aim to keep the Service running but do not promise uninterrupted availability. The Service depends on third-party platforms (Whop, Discord, Telegram) whose APIs may change or fail. We are not liable for outages caused by those platforms.
8. Warranties
The Service is provided "as is". To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
9. Limitation of liability
To the fullest extent permitted by law, our total liability arising out of or relating to the Service is limited to the greater of (a) the fees you paid us in the 12 months before the claim, or (b) USD 100.
We are not liable for lost profits, lost revenue, lost members, lost data, or indirect or consequential loss, even if advised of the possibility.
10. Term and termination
Either party may terminate at any time. You cancel through Whop. We may terminate for material breach, or on 30 days' notice for convenience, refunding any prepaid unused period.
Sections 6, 8, 9 and 11 survive termination.
11. Governing law
These Terms are governed by the laws of Ethiopia, without regard to conflict-of-law principles. The courts of Ethiopia have exclusive jurisdiction over disputes arising from these Terms or the Service, except where applicable law gives you a non-waivable right to bring proceedings elsewhere.
12. Changes
We may update these Terms. For material changes we will give 30 days' notice by email to your account address. Continuing to use the Service after that constitutes acceptance.
